The Role

Quick Take - 

Associate Commercial Counsel, Technology, will support the sales, software development, data privacy and security, marketing, human resources, and finance teams in negotiating technology, services, and other commercial contracts under the supervision and direction of the company’s General Counsel. Experience with cloud computing, software-as-a-service, professional services, and data privacy law is required. Experience with procurement contracts and intellectual property matters is a plus. This full-time opportunity is for a smart, humble attorney hungry for constant learning within a dynamic business environment. This role can be remote and will report to the General Counsel. If you are a self-starter who thrives in a dynamic, technology-driven business and who excels at finding creative solutions to complex and state-of-the-art legal issues, this position may be for you.

 The Work - 

  • Negotiating and drafting a wide range of commercial agreements. You will focus on sale-side technology agreements, including software-as-a-service, professional services, software hosting, software licensing, confidentiality and nondisclosure, data privacy, and various general corporate procurement contracts. This role will require a keen understanding of technology, services, and commercial contracts.
  • Review and comment on contracts prepared by others in a manner that balances business requirements with thorough yet practical legal analysis.
  • Provide advice on legal risks to business decision-makers in a fast-paced, deal-driven environment.
  • Engage in regular oral and written communication and interaction with clients and company personnel as part of an international organization serving the world’s largest companies.
  • Pitch in on whatever legal work needs doing, whenever it needs to be done.

Education, Credentials, and Experience Required:
  • Solid academic credentials and Juris Doctor (J.D.) conferred from a top ABA-accredited law school.
  • Member in good standing in the North Carolina or other state bar.
  • 4 - 6 years of relevant experience in-house experience.
  • Industry knowledge in technology (e.g., software, cloud services, artificial intelligence).
  • Microsoft Office 365 (e.g., Word, Teams, Excel, Planner).
  • Ironclad contract lifecycle management software experience preferred.
  • Salesforce experience preferred.
