The mission of the Director of Legal Affairs at Cozey
We are looking for a business-minded, pragmatic, resourceful, and solutions-oriented Director, Legal Affairs to build and lead our in-house legal function. Reporting to the COO & CFO, this role will be a key partner in Cozey’s growth by supporting international expansion, protecting our brand and intellectual property, and ensuring we operate with strong governance and thoughtful risk management.
You will own the core legal work that underpins our operations, including leases and expansion, employment and partnerships, IP and consumer protection, capital structure and governance, privacy and data protection, compliance, and dispute management. You’ll work closely with leadership and teams across the business to enable fast, smart decision-making and scalable processes.
What You’ll Be Doing
- Draft and negotiate agreements with key partners, suppliers, logistics providers, and technology vendors, ensuring terms are clear and balanced.
- Negotiate and manage leases for retail and fulfillment centres in Canada, the USA, Australia, and future markets, and support legal and administrative setup in new geographies.
- Work with local counsel to manage entity formation, licenses, and registrations for international expansion.
- Oversee Cozey’s patents and trademarks, coordinating with external counsel (ROBIC) to protect our intellectual property globally.
- Support equity-related matters, including stock options, RSUs, and secondary transactions, ensuring documentation aligns with the cap table and board approvals.
- Manage privacy and data protection efforts, including compliance with Canadian, U.S., and international frameworks, and prepare for incident response.
- Ensure employment law compliance across regions and maintain contract templates for employees, contractors, and partners.
- Ensure policies, website content, warranties, and marketing materials comply with consumer protection laws in all operating jurisdictions.
We’d Love to Hear From You If You Have
- 8–10+ years of legal experience, including significant in-house experience or acting as primary external counsel to high-growth companies (ideally in e-commerce, retail, or consumer brands).
- Strong experience in commercial contracts and corporate law, plus expertise in at least one of the following: employment, real estate, or privacy/data protection.
- Experience working across multiple jurisdictions (e.g., Canada and the U.S.), with comfort coordinating local counsel internationally.
- Proven ability to negotiate complex agreements and communicate legal risk in clear, business-friendly language.
- Experience supporting cap table management, stock option plans, or financing transactions.
- A track record of building or improving scalable legal processes, templates, and playbooks.
- Comfort operating as a “team of one” initially — hands-on, pragmatic, and resourceful, with the ability to balance detail and strategy.
- High integrity, sound judgment, and a strong sense of ownership and accountability.
