Job Summary:

 

The Corporate Paralegal supports the Legal team by reviewing, editing, and managing a broad range of commercial and corporate agreements within a pharmaceutical environment. This role is responsible for contract lifecycle management (including intake, filing, routing for signatures, and monitoring for expiration or renewal), risk identification, document revision, and coordination with cross functional stakeholders to ensure agreements are executed efficiently and in alignment with legal, regulatory, and business requirements.

 

The ideal candidate has a strong foundation in corporate contracting, exercises sound judgment, and is comfortable managing high-volume workflows in a fast paced, highly regulated environment. This individual brings strong technical drafting and editing skills, attention to detail, and the ability to independently manage contracting processes while collaborating closely other departments.

 

Primary Job Responsibilities:

 

The Corporate Paralegal serves as a key member of the in-house Legal team, supporting commercial contracting, corporate governance activities, and legal operational processes. This role helps ensure agreements are properly evaluated and stored, risks are identified and escalated appropriately, and legal workflows operate efficiently across the organization.

 

Primary Relationships:

 

  • Within Cristcot: Collaborates with Compliance, Clinical, Regulatory, Finance, Operations, Marketing, Commercial, Business Development, and Executive Leadership teams to support contracting and legal processes.
  • Outside Cristcot: Engages with outside counsel, vendors, service providers, and business partners to facilitate contract review, negotiation, execution, and administration.


The activities of the Corporate Paralegal will include, but are not limited to:

 

Commercial Contracting:

  • Review, edit, and manage a broad range of agreements, including:
    • Master service agreements
    • Statements of work, work orders, and purchase orders
    • Laboratory or clinical service agreements
    • Confidentiality, data privacy, and technology agreements
    • Employment, contracting, consulting, and authorship agreements
    • Customer and revenue-generating agreements
    • Vendor and supplier contracts
    • Licensing, distribution, and strategic partnership agreements
    • Advise internal stakeholders on contract interpretation, risk considerations, required approvals, and key contractual clauses such as indemnification, confidentiality, limitation of liability, and intellectual property and work product ownership
    • Interface with third-party representatives to negotiate contracting disputes
    • Maintain contract templates, clause libraries, and contracting playbooks
    • Support and administer contract lifecycle management processes and systems
    • Track contract obligations, renewal dates, and key milestones

 

Legal Operations and Compliance Support

  • Maintain organized contract repositories and document management systems
  • Track legal requests and contracting workflows across business teams
  • Support implementation of scalable contracting processes and operational improvements
  • Coordinate execution processes, including signature collection and record retention
  • Assist with compliance-related documentation and internal policy adherence

 

Skills and Qualifications:

 

Bachelor’s degree or equivalent professional experience

7 years of experience supporting commercial contracting or corporate legal functions

Strong understanding of contract structure and key contracting clauses/provisions, negotiation concepts, risk allocation principles

Excellent drafting, redlining, and written communication skills

Strong issue spotting and analytical abilities

Exceptional organizational skills and attention to detail

Demonstrated expertise in preparation, formatting and re-formatting, version comparison, and management of high-volume documents using Microsoft Word and Adobe Acrobat

Experience working with contract lifecycle management or document management systems (e.g., DocuSign IAM or similar)

Ability to manage high volume workflows and competing priorities

Experience coordinating with cross functional stakeholders and external advisors

 

Preferred Experience:

  • Paralegal certificate or equivalent professional training
  • Experience supporting pharmaceutical, healthcare, or other regulated industries
  • Familiarity with contracting in regulated or compliance-driven environments
  • Experience developing contract templates or playbooks
  • Experience working within in-house legal teams or high-growth companies
  • Knowledge of core contract law principles, including offer and acceptance, consideration, mutual assent, and enforceability
