Job Summary:

 

The Business Operations Paralegal supports corporate governance, operational, and administrative functions across the organization by managing corporate records, regulatory filings, intellectual property administration, and business processes. This role serves as a central coordination point between Legal, Business Operations, Executive Leadership, and external advisors to help ensure corporate activities are executed efficiently and in compliance with applicable legal and regulatory requirements.

 

The ideal candidate is highly organized, detail oriented, and comfortable managing multiple workflows independently within a fast-paced and evolving environment.

 

Primary Job Responsibilities:

 

The Business Operations Paralegal supports corporate governance, intellectual property administration, and operational processes by maintaining corporate records and filings, coordinating internal and external stakeholders, and supporting organizational compliance and documentation practices.

 

Primary Relationships:

 

  • Within Cristcot: Collaborates cross-functionally with Operations Leadership, Executive Leadership, Legal and Compliance, Finance, Regulatory, and the Board of Directors, as well as Investor Relations.
  • Outside Cristcot: The Business Operations Paralegal collaborates with
    • Outside counsel, including intellectual property and corporate governance advisors
    • Intellectual property service providers and filing agents
    • Regulatory and compliance consultants
    • Insurance brokers and providers
    • External diligence partners
    • Investors and financing counterparties, as applicable

 

The activities of the Business Operations Paralegal will include, but are not limited to:

 

Corporate Governance

  • Maintain domestic subsidiaries and corporate records across multiple entities
  • Prepare and file annual reports and maintain entity good standing in applicable jurisdictions
  • Coordinate board and investor materials, including written consents and meeting documentation
  • Maintain governance records and support corporate formalities
  • Coordinate with outside counsel on governance and corporate matters
  • Assist with preparation of corporate documentation supporting financings, audits, and disclosures

 

Intellectual Property and Corporate Diligence Support

  • Maintain intellectual property tracking and docketing systems
  • Coordinate reporting and documentation related to patent and trademark portfolios
  • Prepare intellectual property schedules and documentation for diligence, partnerships, and financing activities

 

Compliance, Operations, and Process Management

  • Support Legal, Compliance, and Regulatory initiatives as needed
  • Develop and maintain corporate recordkeeping and documentation systems
  • Track corporate filings, deadlines, and compliance requirements
  • Recommend process improvements to enhance operational efficiency and risk management
  • Partner with cross functional teams to support documentation workflows and operational coordination

 

Skills and Qualifications

 

  • Bachelor’s degree or equivalent professional experience
  • 7 years of paralegal or comparable corporate operations experience
  • Strong written communication and technical documentation skills
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and document management tools
  • Exceptional organizational skills and attention to detail
  • Ability to manage multiple priorities and deadlines in a dynamic environment
  • Experience coordinating with internal stakeholders and external advisors

 

Preferred Experience

 

  • Paralegal certificate or equivalent professional training
  • Experience supporting corporate governance or entity management
  • Experience working with multi-entity corporate structures
  • Familiarity with patent and trademark administration or intellectual property portfolios
  • Understanding of corporate formalities and board governance processes
  • Experience supporting financings, diligence processes, or M&A activities
  • Experience in biotechnology, pharmaceutical, healthcare, or other regulated industries
  • Familiarity with equity management platforms
  • Experience using intellectual property docketing or compliance tracking systems
  • Knowledge of multijurisdictional corporate filing requirements
