About the role


We are seeking a corporate attorney with extensive securities and corporate governance experience in the context of a public company to join D-Wave’s Legal department. You’ll report to D-Wave’s General Counsel and will work closely with the other members of the executive team on the company’s compliance issues. You’ll play an important role in our corporate office, enabling our internal business teams and forming strong relationships throughout.


This role is fully remote, but the successful candidate must be in continental US.


What you'll do

  • Advise the internal business teams on a variety of securities and corporate law matters, including public company reporting, securities compliance, disclosure matters, NYSE listing standards, corporate governance and other general corporate matters
  • Prepare SEC filings and review SEC disclosures, including 10-K annual reports, 10-Q quarterly reports, 8-K current reports and annual proxy statements
  • Create policies, manage existing policies and implement training and compliance programs
  • Meet with internal business teams to assess areas of non-compliance and address as needed
  • Advise and provide support to the General Counsel on a wide variety of corporate matters including the annual meeting of stockholders and corporate policies
  • Review and advise on press releases, the corporate website, investor presentations, and other external communications
  • Oversee and advise on Section 16 filings, administration of 10b5-1 plans and insider trading
  • Assist the Finance team with the management of the company’s equity incentive plan, including compliance and reporting
  • Support the Legal team on other legal matters, as needed

About You

  • Legal Skills: Admitted to the bar of a US State with a minimum of 5 years of experience with regulatory requirements and compliance issues for a public company
  • Keen Curiosity: Excited about working in new areas of law and keeping abreast of applicable laws, regulations and industry guidance that impact D-Wave’s business
  • Self-Motivated and Goal Oriented: Identify tasks and prioritize a high-volume workload with limited resources in a global, matrixed environment, balancing urgent priorities from multiple stakeholders to a high standard and on time with minimal supervision
  • Relationship Building: Support internal customers by combining critical thinking skills, solid legal analysis, a high level of initiative and proactive approach to problem solving

During the interview process, your Recruiter will explain how our rubrics work across all our total rewards (base, equity, bonus, perks, benefit, culture) offerings. The final offer is determined by your proficiencies within this level.

The base salary for this role is targeted between $170K - $300K USD per year. The final offer is determined by your proficiencies within this level.
