About the Role
The General Counsel serves as a key member of the executive leadership team, providing strategic legal guidance across the organization. This role is responsible for overseeing all legal, risk management, and compliance matters while ensuring alignment with business objectives. The General Counsel partners closely with senior leadership, Board of Directors, and business units to deliver practical, business-focused legal solutions that protect the company’s brand, integrity, and reputation.


Essential Functions and Responsibilities

Executive Leadership & Strategy

  • Serve as a member of the Executive Leadership Team (ELT), contributing to enterprise-wide strategy, decision-making, and performance alignment
  • Prioritize enterprise outcomes and ensure legal strategy supports overall business objectives
  • Demonstrate leadership presence aligned with company values and executive expectations

 

Legal Advisory & Compliance

  • Provide legal counsel across a broad range of matters impacting day-to-day operations
  • Ensure compliance with all applicable federal, state, and local laws, as well as internal policies
  • Advise leadership and the Board on legal risks, exposures, and governance matters
  • Develop and support internal policies, programs, and procedures aligned with best practices

 

Contracts, Transactions & Business Support

  • Lead or participate in negotiations with third parties, including contracts, acquisitions, new ventures, and dispositions
  • Draft, review, and approve legal documentation supporting business transactions
  • Partner with cross-functional teams to enable strategic initiatives and mitigate risk

 

Board & Governance

  • Serve as Corporate Secretary, supporting Board of Directors operations
  • Prepare meeting materials, manage logistics, and maintain records, including minutes and action items
  • Support governance processes and ensure alignment with regulatory requirements

 

Litigation & External Counsel Management

  • Oversee all litigation matters and legal disputes
  • Select, manage, and evaluate outside counsel and legal service providers
  • Lead legal strategy for claims, litigation, and regulatory matters
  • Manage legal budgets, forecasting, and approval of legal expenses in partnership with Finance

 

Regulatory, Risk & Claims Management

  • Interface with regulatory agencies and represent the company in hearings and legal proceedings
  • Review and respond to regulatory inquiries and customer complaints
  • Provide training and education to employees on legal, compliance, and risk matters

 

Insurance & Enterprise Risk Management

  • Lead the enterprise insurance strategy, including design, procurement, and renewal of all corporate insurance programs
  • Manage broker relationships and negotiate coverage terms and placements
  • Oversee claims management, insurance recoveries, and coverage strategy
  • Evaluate emerging risks and recommend program enhancements aligned with business strategy
  • Prepare and present insurance and risk insights to executive leadership and the Board


QUALIFICATIONS – Knowledge, Skills & Abilities

  • Juris Doctor (JD) from an accredited law school required
  • Admission to at least one applicable state bar
  • 12+ years of legal experience, including law firm and/or in-house practice
  • Preferred: 5+ years of in-house experience
  • Strong expertise across corporate law, contracts, litigation, regulatory matters, and risk management
  • Demonstrated experience leading legal teams and advising senior leadership
  • Excellent communication, negotiation, and interpersonal skills
  • Strong strategic thinking, analytical ability, and sound judgment
  • Proven ability to influence, collaborate, and operate effectively across all levels of the organization
