Position Location: Remote – work virtually anywhere in the United States

Job Summary 

We are seeking an experienced and strategic General Counsel to lead the legal function across our multi-company ecosystem. As the company’s principal legal advisor, you will shape legal strategies for major engineering and construction initiatives and provide clear, practical counsel on high-impact commercial and operational matters. 

You will oversee negotiation and execution of project, commercial, and technical agreements—including infrastructure and consulting contracts—and guide regulatory compliance, risk mitigation, and multi-jurisdictional requirements. Partnering closely with project management, engineering, finance, and executive teams, you will support successful project delivery and the company’s growth objectives. 

 

A core responsibility of this role is maintaining the corporate governance framework, ensuring that policies, controls, and decision-making processes align with applicable laws, emerging regulations, and industry standards. You will uphold governance discipline, manage executive and board-level processes, and ensure operations reflect the highest standards of transparency, ethics, and regulatory alignment. 

 

The General Counsel will also oversee corporate disclosure and reporting, serving as the primary legal contact for government bodies, auditors, and external counsel. In addition, you will manage dispute resolution and litigation, deliver internal legal training, and foster a proactive culture of compliance across the organization. 


Essential Functions 

Contract Development & Management: Draft, review, and negotiate engineering, construction, design-build, EPC, infrastructure, and consulting agreements. Oversee execution of major project, commercial, and technical contracts. Advise project teams and executives on contractual obligations, risk allocation, and alternative delivery methods (design-build, EPC, P3). 

 

Compliance, Regulatory & Risk Management: Ensure compliance with federal, state, provincial, and global regulations, as well as corporate policies. Identify legal and operational risks, develop mitigation strategies, and align risk posture with business objectives. Monitor legislative and regulatory developments impacting engineering, construction, infrastructure, and datacenter projects. 

 

Litigation & Dispute Resolution: Supervise outside counsel and manage disputes, claims, and litigation budgets. Handle subpoenas, claims, and other legal actions in alignment with corporate strategy. Provide guidance on dispute settlements and complex client or partner negotiations. 

 

Strategic Legal Advisory: Serve as a trusted legal advisor to executive leadership and project teams on operational, procurement, governance, and compliance matters. Influence policy, shape business strategy, and provide practical legal solutions to enable growth and operational efficiency. Lead internal legal training, lessons learned sessions, and knowledge-sharing initiatives to build legal and compliance awareness. 

 

Corporate Governance & Disclosure: Maintain the corporate governance framework, policies, internal controls, and decision-making processes. Ensure accuracy and timeliness of corporate filings, disclosures, and certifications. Support board and executive-level governance processes and act as the primary contact for auditors and regulatory authorities. 


Cross-Functional Collaboration: Partner with project management, engineering, finance, and corporate stakeholders to enable project success. Provide legal guidance that balances commercial, operational, and technical priorities. Promote a culture of compliance, ethical behavior, and transparency across the organization.  


Completion of Assigned Tasks and Deliverables on Time and on Budget: Performs Other Related Duties as Assigned 


Position Requirements (Advanced level for all the following) 

  • Demonstrated ability to work independently, manage complex matters, and interface with senior leadership. 
  • Strong leadership, influence, and stakeholder management, with the ability to collaborate across technical and business functions. 
  • Training or mentoring experience for project teams on legal and compliance issues. 
  • Proficiency in office productivity tools (MS Word, Excel, PowerPoint). 
  • Strong written and verbal communication skills, including legal drafting and executive-level presentations. 
  • Experience with data-center development, advanced facilities, or large-scale infrastructure projects. 
  • Experience in privacy, IP, insurance, digital law, governance, and compliance frameworks relevant to technology-intensive facilities.

  • Frequently required to remain in a stationary position

Travel / Relocation Requirements 

  • Up to 10%, this may include travel to any or all 50 US states  
  • Travel is defined as physically leaving home on behalf of business activities including but not limited to client sites, meetings with other employees, meeting for business development purposes, running errands on behalf of the business, attending industry conferences, etc. 


Education / Experience 

  • Juris Doctor (J.D.) from an accredited law school. 
  • Minimum of 10 years of experience in construction, engineering, commercial contracting, or infrastructure law. 
  • Minimum of years of experience with engineering and construction contracts, including alternative delivery methods (design-build, EPC, P3). 
  • Minimum of 5 years handling disputes in construction, engineering, and infrastructure contracts and delivery. 
  • Active membership in at least one U.S. state bar, with ability to practice in the firm’s primary jurisdiction.
