We are looking for a sharp, entrepreneurial, and highly collaborative Commercial Counsel to support our commercial legal function. As a fast-growing B2B SaaS platform, our legal team acts as a strategic business partner and a core engine for revenue acceleration.
In this role, you will be highly customer-facing, regularly joining calls with enterprise buyers, procurement teams, and customer counsel to unblock deals and streamline the sales cycle. You will balance a sharp eye for risk management with a pragmatic, business-first mindset to help us scale from our current growth stage to the next level.
Key Responsibilities and Duties:
Core Focus: Commercial Negotiations & Sales Enablement
- Enterprise Deals: Act as a customer-facing legal representative during complex enterprise B2B negotiations. Directly engage with client counsel and procurement teams to find creative, risk-adjusted solutions.
- Drive Deal Velocity: Partner closely with Sales, Customer Success, and Revenue Operations to streamline the closing process, reduce sales-cycle friction, and establish clear negotiation playbooks.
- Draft & Refine Templates: Continually provide feedback to optimize our standard contracts, including Master Services Agreements (MSAs), Service Level Agreements (SLAs), Terms of Service (ToS), and Data Processing Addendums (DPAs).
Data Privacy & Product Counseling
- Privacy Compliance: Serve as an internal expert on data privacy frameworks impacting SaaS (e.g., GDPR, CCPA/CPRA, HIPAA). Ensure our DPAs and data-handling practices reflect current regulations.
- Product & AI Governance: Collaborate with Product and Engineering teams to review new features, third-party integrations, APIs, and AI/ML technologies to ensure compliance and mitigate IP or data liability.
Legal Operations & Scaling
- Continuous Process Improvement: Participate in and/or lead workflow process improvements as needed to ensure deals and contracts move forward efficiently.
- Train the Team: Educate the sales and account teams on fallback positions, commercial legal risks, and the effective use of contract playbooks.
Corporate Partnerships & Risk Management
- Vendor & General Corporate Support: Review incoming vendor contracts, support partnerships teams with non-commercial contracts that support customers.
Qualifications & Skills
- Education & Credentials: Juris Doctor (J.D.) degree from an accredited law school and an active bar membership in good standing.
- SaaS Experience: 10+ years of legal experience, with at least 2–3 years spent in-house at a fast-growing B2B SaaS or technology scale-up.
- Expert Negotiator: Proven experience in high-stakes, customer-facing commercial negotiations with Fortune 500/Enterprise procurement teams.
- Business-First Mindset: Ability to translate complex legal issues into practical, actionable business advice for non-legal stakeholders. You know when to fight for a clause and when to accept commercial risk.
- Autonomy & Grit: Thrives in a fast-paced, startup environment. Navigate ambiguity well and is comfortable wearing multiple hats.
Physical Demands and Work Environment:
- This job is based on-site in Austin, TX with the opportunity to work remotely on Friday, unless approved to be performed remotely within the United States.
- This is largely a sedentary role; standard office equipment is used, such as laptops, monitors and headsets, if needed.
- Limited travel may be required
