Your Mission

 

Your mission is to protect and enable EnerVenue’s business by providing strategic legal leadership, mitigating risk, and facilitating the rapid yet responsible commercialization of our technology. This role is critical for building the legal, compliance, and IP infrastructure necessary to scale a world-changing company.

 

Positional Targets and Outcomes

 

Corporate Governance & Strategic Transactions:

  • Serve as corporate secretary and manage all board-related activities, ensuring robust governance practices.
  • Lead legal strategy and execution for complex financing rounds, strategic partnerships, and potential M&A activity.
  • Manage corporate structure, subsidiary management, and global entity compliance.

Intellectual Property Strategy & Management:

  • Develop and execute a global IP strategy that protects EnerVenue’s core metal-hydrogen battery technology and creates a durable competitive position.
  • Oversee the entire patent lifecycle, from filing and prosecution to maintenance and enforcement, working closely with the CTO and CPO.
  • Manage trade secrets, trademarks, copyrights and related IP assets.

Commercial Agreements & Supply Chain:

  • Draft, negotiate, and manage critical commercial agreements, including customer sales (e.g., master supply agreements, warranty agreements), strategic partnerships, and complex supply chain and co-manufacturing contracts.
  • Mitigate liability and ensure agreements reflect the long-term and high-value nature of energy storage assets.

Regulatory Compliance & Product Safety:

  • Navigate the complex global regulatory environment for grid-scale energy storage, including product safety standards (UL, IEC), environmental regulations, and carbon credit schemes.
  • Establish and oversee corporate compliance programs, including export controls, anti-corruption (FCPA), and data privacy.

Risk Management & Litigation:

  • Develop and implement enterprise-wide risk management strategies.
  • Manage and oversee any litigation, disputes, or regulatory investigations.
  • Establish proactive risk controls supporting global operations and commercialization

 

Requirements

  • MSL, LLM or Juris Doctor (J.D.) from an accredited law school and active membership in good standing with a state bar.
  • Five or more years of combined experience at a top-tier law firm and, crucially, in-house at a technology company, with a strong preference for candidates from energy, cleantech, battery technology, or advanced manufacturing.
  • Proven experience as the first or head legal counsel in a scaling company, building the legal function from the ground up.
  • Deep, hands-on expertise in Intellectual Property law (patents) and corporate governance. Experience with project finance is a significant plus.
  • Demonstrated ability to translate legal advice into strategic business guidance and to communicate complex issues clearly to executives, the board, and technical teams.
  • A pragmatic, solution-oriented mindset with a high tolerance for ambiguity and the ability to manage a wide range of legal issues simultaneously.

Must-haves:

  • Sector Expertise: 10+ years of B2B commercial leadership experience in the energy sector (renewables, storage, power generation, or oil & gas infrastructure).
  • Deal Sheet: A verifiable track record of negotiating and closing complex, multi-million-dollar contracts with utilities, IPPs, or large C&I energy users.
  • Scale-Up DNA: Proven experience as a foundational commercial leader in a Series B-D startup, building departments, processes, and culture from a nascent stage.
  • Bankability Champion: Direct, hands-on experience leading the process of achieving bankability for new technology, including working with technical consultants, insurers, and financiers.
  • Team Builder: A demonstrated history of recruiting, mentoring, and leading high-performance, global commercial teams.
  • Strategic Vision: Ability to translate a disruptive technology into a compelling customer value proposition and a tangible, executable market strategy.
