Senior Corporate Paralegal

Job Summary

CData Software, Inc. is seeking a Senior Corporate Paralegal / Legal Operations Specialist to be a key partner to the General Counsel and broader Corporate Operations team. This is a hands-on, high-impact role for a seasoned professional who can operate independently across contract management, corporate governance, equity administration, and data privacy, while also building and improving the systems and processes that let a lean legal team punch above its weight. The role spans both paralegal execution and legal operations leadership, and the successful candidate will be comfortable in both modes.

Location(s): North Carolina Research Triangle or East Coast (preferred)

Key Duties & Responsibilities:

Responsibilities include but are not limited to:

Contract Management & Legal Operations (~70%)

  • Review, draft, and negotiate NDAs, SaaS/technology, marketing, and vendor agreements; serve as first-line contract review for standard and moderately complex agreements
  • Develop and maintain a library of contract templates and playbooks, including standard positions, fallback language, and escalation criteria for each agreement type
  • Implement, maintain, and continuously optimize the contract management system (CLM); serve as the internal subject-matter expert and primary administrator for the platform
  • Track non-standard provisions and deviations from standard positions; generate regular reports for leadership
  • Support sales and business development (strategic partner) teams with high-volume contract review and execution; manage turnaround expectations and escalation triage during peak periods
  • Identify and implement process improvements to streamline contract workflows; collaborate with Sales, Finance, HR, and Operations to drive adoption of automated tools and self-service resources
  • Manage outside counsel relationships for discrete matters; review and approve outside counsel invoices for accuracy and budget alignment
  • Provide targeted administrative support to the General Counsel as needed; support special projects as assigned

Corporate Governance & Equity (~15%)

  • Support corporate governance matters, including board and stockholder consents, written actions, and maintenance of corporate records books
  • Administer equity matters in Carta: 409A coordination, cap table maintenance, annual equity reporting, and vesting schedule tracking; coordinate with HR and Finance
  • Manage domestic and foreign entity registrations; oversee external registered agent services, monitor compliance deadlines, and ensure all subsidiary filings are current

Data Privacy & Compliance (~15%)

  • Support the company's data privacy compliance program across applicable frameworks including GDPR, CCPA/CPRA, and emerging state privacy laws
  • Assist with data subject access requests (DSARs), privacy impact assessments, and data processing agreements (DPAs)
  • Monitor regulatory developments and flag material changes
Qualifications
  • BS/BA required
  • Minimum of eight years of experience as a Paralegal or in Legal Operations or Contract Administration; paralegal certification (CP or ACP) a plus
  • Demonstrated experience drafting and negotiating global sales and procurement agreements in-house, preferably at a privately-held SaaS or technology company in a fast-paced, sales-driven environment
  • Excellent contract drafting skills, including the ability to draft and redline original language across a range of agreement types without attorney markup for standard provisions
  • Hands-on experience implementing, managing, and optimizing a contract management system (CLM); familiarity with platforms such as Ironclad, Conga, DocuSign CLM, or similar required
  • Comfort with AI-assisted legal tools and a genuine interest in adopting legal technology to improve team efficiency and scalability
  • Experience administering equity in Carta or a comparable equity management platform; ability to process grants, manage cap table entries, and coordinate with Finance and HR
  • Experience supporting corporate governance, including board documentation, entity management, and registered agent coordination
  • Familiarity with data privacy frameworks (GDPR, CCPA/CPRA) and practical experience responding to DSARs or supporting a privacy compliance function
  • Familiarity with data security frameworks such as SOC-2, ISO 27001, and with compliance obligations for handling ePHI under HIPAA
  • Strong project management skills; ability to manage multiple concurrent workstreams, set priorities, and meet tight deadlines with minimal supervision
  • Excellent written and oral communication skills; able to advise business clients clearly and concisely, appropriately escalate issues, and work effectively across functional areas
  • Experience working with international consultants, co-workers, customers, and outside counsel
  • Proficiency with Microsoft 365, Salesforce, DocuSign, and Carta; experience with at least one enterprise CLM platform required
  • Excellent organizational, multitasking, recordkeeping, and record retention skills; exceptional attention to detail
