Overland AI

Government Contracts Manager

About Overland AI

Founded in 2022 and headquartered in Seattle, Washington, Overland AI is transforming land operations for modern defense. The company leverages over a decade of advanced research in robotics and machine learning, as well as a field-test forward ethos, to deliver combined capabilities for unit commanders. Our OverDrive autonomy stack enables ground vehicles to navigate and operate off-road in any terrain without GPS or direct operator control. Our intuitive OverWatch C2 interface provides commanders with precise coordination capabilities essential for mission success.

Overland AI has secured funding from prominent defense tech investors including 8VC and Point 72, and built trusted partnerships with DARPA, the U.S. Army, Marine Corps, and Special Operations Command. Backed by eight-figure contracts across the Department of Defense, we are strengthening national security by iterating closely with end users engaged in tactical operations.

Position Summary

Overland AI is pioneering software-defined, off-road ground vehicle autonomy for national security and commercial industries. We do not build slow, legacy defense systems; we build cutting-edge, dual-use technology at the speed of commercial software.

We are seeking a Government Contracts Manager to act as a strategic business partner. In this role, you will bridge the gap between rapid commercial software iteration and complex federal acquisition, ensuring our programs scale rapidly, remain fully compliant, and successfully transition to the warfighter. You will lead the administration, compliance, and strategic management of the Company’s U.S. Government, prime contractor, and subcontractor agreements, working as a trusted adviser who balances mission execution, commercial objectives, and regulatory compliance.

Key Responsibilities

Contract Administration and Strategy

You will own the day-to-day administration of assigned federal, state, local, and commercial contracts. This involves managing agreements from opportunity assessment through closeout, while protecting the company's operational flexibility and intellectual property.

  • Own the lifecycle administration of prime contracts, subcontracts, task orders, and IDIQ vehicles.
  • Review solicitations, RFIs, RFPs, RFQs, teaming agreements, and NDAs to identify and mitigate business, legal, operational, and data-rights risks.
  • Support the negotiation of contract terms, modifications, and FAR/DFARS flow-down requirements, escalating material risks to legal and executive leadership as needed.
  • Maintain complete, accurate, and auditable contract files, and track key milestones, periods of performance, funding, and deliverables.
  • Manage contract changes, claims, requests for equitable adjustment (REAs), and other performance issues in close coordination with program management and finance.

Proposal, Capture, and Portal Management

You will play a vital role in our growth by partnering with capture teams to build winning, compliant proposals and managing our interface with federal contracting systems.

  • Advise capture and proposal teams on solicitation requirements, contract types (including fixed-price, time-and-materials, and cost-reimbursement), representations and certifications, and risk allocation.
  • Review proposal content for contractual accuracy, responsiveness, and alignment with company commitments.
  • Administer the Company’s SAM.gov registration, maintaining accurate representations, certifications, and entity information.
  • Manage company access, user roles, and compliance submissions across common federal contracting portals, including PIEE, WAWF, EDA, and GSA systems.

Compliance, Risk, and Scale

You will design and implement lightweight, scalable processes that ensure compliance without slowing down our engineering and operational teams.

  • Interpret and apply FAR, DFARS, and agency-specific clauses to Overland AI's business model.
  • Establish and improve practical contracting processes, templates, playbooks, and internal controls appropriate for a fast-growing contractor.
  • Partner with cross-functional teams to administer compliance requirements related to cost and pricing, procurement integrity, organizational conflicts of interest (OCIs), export controls, cybersecurity, and Controlled Unclassified Information (CUI).
  • Support internal and external audits, customer reviews, and government inquiries, including interface with DCAA and DCMA where applicable.

Cross-Functional Collaboration

You will be the central node connecting our technical, financial, and operational teams to streamline contract execution.

  • Translate complex contractual and regulatory requirements into clear, actionable advice for engineers, product managers, and business leaders.
  • Coordinate with finance and program teams on funding, invoicing, indirect-rate questions, and general contract financial administration.
  • Support the selection, onboarding, oversight, and closeout of subcontractors, ensuring appropriate flow-downs and documentation are in place.
  • Build constructive, professional relationships with Government Contracting Officers (COs), Contracting Officer's Representatives (CORs), and prime partners.

Minimum Qualifications

  • 5+ years of progressively responsible experience in U.S. Government contracts administration, management, or a closely related contracts role.
  • Demonstrated experience administering contracts across multiple structures, including FP, T&M, LH, cost-reimbursement, and IDIQ arrangements.
  • Strong, practical working knowledge of the FAR and DFARS.
  • Experience managing SAM.gov registrations, Reps & Certs, and navigating federal contracting, invoicing, or award-management portals.
  • Proven experience reviewing, negotiating, and administering prime contracts, subcontracts, teaming agreements, and modifications.
  • Strong written, verbal, analytical, negotiation, and project-management skills, with the ability to communicate clearly with both technical and executive audiences.
  • Active U.S. security clearance, or the demonstrated ability to obtain and maintain a clearance.

Desired Qualifications & Experience

  • Experience supporting U.S. Department of Defense (DoD), defense innovation, autonomy, robotics, artificial intelligence, unmanned systems, or other dual-use technology programs.
  • Experience with Other Transaction Authority (OTA) agreements, CRADAs, SBIR/STTR awards, and prototype-to-production transitions
  • Specific familiarity with government data rights, commercial software rights, intellectual property protection, and CUI requirements.
  • Experience utilizing GSA eBuy, GSA eOffer, Contractor Performance Assessment Reporting System (CPARS), or comparable DoD systems.
  • Experience supporting Cost Accounting Standards (CAS), Contractor Purchasing System Reviews (CPSR), and DCAA/DCMA audits.
  • Certified Federal Contracts Manager (CFCM), Certified Professional Contracts Manager (CPCM), NCMA certification, or equivalent professional credential.
