What You’ll Do:
- Own the legal function and act as a strategic advisor to the CEO, CRO, and CFO, providing guidance on legal, compliance, and risk management issues related to business operations, contractual obligations, and corporate governance.
- Review, draft, and negotiate a wide range of customer sales agreements, including SaaS subscription agreements, enterprise contracts, and professional services agreements, as well as vendor contracts and strategic partnership agreements.
- Collaborate with the Sales, Sales Operations, and Finance teams to enhance contracting policies, processes, and templates, ensuring efficient, scalable, and legally sound deal execution.
- Regulatory Compliance: Stay current with and advise on global data protection regulations, including GDPR, CPRA, PIPEDA, and other applicable privacy laws, ensuring the company meets compliance obligations across multiple jurisdictions.
- Risk & Incident Management: Develop and implement strategies for data privacy and cybersecurity incident response, working closely with IT, security, and compliance teams to mitigate potential legal risks.
- Partner with HR to develop and maintain legally compliant employment policies and practices. Provide guidance on hiring, compensation, terminations, and employee relations matters.
- Oversee intellectual property strategy, including software licensing, open-source compliance, brand protection, and enforcement.
- Manage and optimize relationships with outside counsel, balancing cost efficiency with strategic legal support.
What You’ll Need:
- US-licensed attorney in good standing. Experience with legal issues across multiple jurisdictions (e.g., Canada, the EU, UK) is a strong plus.
- 10+ years of legal experience, with a focus on technology transactions, data privacy, and SaaS business operations.
- In-house experience drafting, reviewing, and negotiating commercial software agreements, including SaaS subscription agreements, DPAs, and reseller agreements.
- Strong familiarity with GDPR, CPRA, PIPEDA, and other global privacy regulations.
- Excellent negotiation, communication, and drafting skills, with the ability to explain complex legal concepts to non-legal stakeholders.
- Demonstrated ability to work independently, manage multiple priorities, and provide strategic legal guidance in a fast-paced environment.
- Strong analytical and problem-solving skills, with a practical, business-oriented approach to legal challenges. Experience building and leading a legal function from the ground up is a plus.
