Paralegal - Contracts Administration

Datex is a successful, 40 year SaaS company specializing in WMS solutions to make warehouse management easier for 3PLs and warehouse operators navigating complexity, compliance, and constant change.

The Contracts Administrator role centers on SaaS and other software arrangements, with a strong emphasis on identifying contract risks, producing clear document revisions, collaborating with leadership, as well as stakeholders, to move agreements forward efficiently.

Candidates must be located in the United States.

This is a part-time, remote, hourly compensation role.


Essential Job Functions

  • Review a high volume of software and SaaS agreements to identify contractual risks, business concerns, and areas requiring revision.
  • Prepare, revise, and negotiate software contract language to align with organizational requirements and acceptable legal and commercial terms.
  • Mark up agreement drafts in Microsoft Word, creating precise redlines that clearly reflect proposed edits and negotiated changes.
  • Partner with internal stakeholders to support the contract review process and help advance agreements through completion.
  • Apply prior software contracting experience to evaluate terms related to licensing, services, pricing, and related obligations.
  • Follow established internal guidance and contracting procedures while adapting quickly to team expectations and review standards.
  • Preparing and presenting advice and drafting discussion points to be utilized when negotiating a variety of commercial contracts with customers, and (where required) suppliers to the company and its group, including software licensing, cloud hosting & SaaS contracts and support entitlements, supply agreements, outsourcing deals and consultancy arrangements.
  • Reviewing responses to bid requests, reporting on risk and recommending appropriate mitigation strategies within the corporate governance framework whilst balancing the needs of the business objectives.
  • Advising and undertaking risk analysis in respect to existing contracts and new contract opportunities.
  • Drafting and negotiating contracts, including contract variations.
  • Management of contract documentation.
  • Reviewing and updating contract-related templates.
  • Gathering and reviewing documentation relating to actual or potential disputes, assisting with the preparation of documents for disputes and litigation.
  • Offering advice on contact-related matters affecting the business in a clear and concise manner as required, and engaging with key stakeholders at all levels of the business.
  • Liaising with external counsel where required, ensuring that disputes are escalated when necessary and providing detailed documentation to assist in communicating legal issues.
  • Engaging with the sales and project management teams to ensure compliance with business processes and procedures.

Required Qualifications

Education

  • Bachelor’s degree or Paralegal certification
  • 5+ years contract administration or contract oversight experience and demonstrable track record of owning pre and post contract activity.
  • Proven ability to review, draft, and negotiate contracts involving software or SaaS offerings, or similar industry, preferably with a technology product.

Experience

  • A sound understanding of commercial contracts and core contractual principles, including limitation/exclusion of liability and liquidated damages.
  • An ability to both review existing and draft new legally sound contract provisions clearly and precisely to a high standard, with extreme attention to detail.
  • Demonstrated experience in contract administration with a concentration on software agreements.
  • Hands-on experience preparing and editing redlined agreements in Microsoft Word.
  • Familiarity with contract pricing concepts and related commercial terms.
  • Ability to assess contractual language carefully and communicate revisions clearly and professionally.

Knowledge, Skills, and Abilities

  • Must be articulate and confident in communicating with a wide range of both internal and external stakeholders at all levels, serving as a natural conduit between the client and Datex, and is a trusted advisor with the ability to say no without and can protect a position when required.
  • Ability to identify and analyze key commercial risks such as KPIs, SLAs, contractual dependencies, and milestones.

Preferred Qualifications

  • Familiarity with SaaS business models
  • MS Dynamics, AI tools and SharePoint


This role is part-time, expected at approximately 20 hours per week. Hourly rate will be based on experience and other factors. Compensation range: $28/hr to $38/hr.
