Classification: Non-Exempt

Location: Van Nuys, CA
Schedule*: Full-time, Hybrid | Monday–Friday, 9:00 AM–6:00 PM | Minimum 3–4 days per week in office
Salary Range*: $100,000–$135,000

Position Overview

We are seeking an experienced, highly organized Senior Corporate Paralegal to join our Legal team and provide critical support across corporate governance, equity and cap table administration, contracts, intellectual property, compliance, litigation, and legal operations.

Reporting to the General Counsel, this role will serve as a key operational partner in maintaining the Company's corporate infrastructure and legal records, supporting its Board, investors and equity holders, and ensuring the organization remains well organized and prepared for financings, strategic transactions, audits, and other corporate events.

The Senior Corporate Paralegal will work closely with Finance, People, Operations, Supply Chain, Retail, Technology and other cross-functional teams, as well as outside counsel and third-party service providers. The ideal candidate is proactive, exceptionally detail-oriented, comfortable taking ownership of complex administrative processes, and able to exercise sound judgment while handling sensitive and confidential information.

Key Responsibilities

Corporate Governance, Equity & Investor Administration

  • Maintain the Company's corporate records, minute books, organizational documents, Board and stockholder records, and other governance materials.
  • Maintain accurate records relating to stockholders, investors, equity issuances, transfers, exercises, repurchases and other equity transactions.
  • Coordinate documentation associated with equity grants and the Company's equity incentive plans, including grant documentation, approvals and related recordkeeping.
  • Maintain investor and stockholder documentation, including investment agreements, side letters, information rights, consent rights and other ongoing obligations.
  • Track governance and contractual requirements associated with the Company's investors and capital structure and proactively flag upcoming approvals, notices, reporting requirements or other obligations.
  • Maintain organized and diligence-ready corporate records and virtual data rooms to support potential financing, investment, audit or strategic transaction activity.

Entity Management & Corporate Compliance

  • Maintain accurate records for the Company's legal entities, including formation and organizational documents, qualifications, ownership information, registered agents and organizational charts.
  • Manage annual reports, statements of information, foreign qualifications and other required state and local corporate filings.
  • Maintain corporate good standing across applicable jurisdictions and proactively monitor filing and renewal deadlines.
  • Manage business licenses, permits and related regulatory requirements across multiple jurisdictions.
  • Coordinate entity formations, dissolutions, qualifications and other corporate changes with the General Counsel and outside counsel.
  • Maintain a contract management system  for corporate, regulatory and legal deadlines, and follow action items to completion.

Contracts & Legal Operations

  • Support the drafting, review, execution and administration of commercial agreements and other legal documents under the direction of the General Counsel.
  • Ensure contracts are routed through Legal and appropriately escalated in accordance with the Company's Table of Authority and approval requirements.
  • Own day-to-day administration and data integrity of the Company's contract management system in collaboration with departmental business owners.
  • Maintain accurate contract records and proactively identify and communicate material notice periods, renewal dates, termination rights, expirations and other time-sensitive contractual obligations.
  • Coordinate contract signatures and ensure fully executed agreements and supporting documentation are appropriately stored and accessible.
  • Assist the General Counsel in developing and maintaining legal policies, procedures, templates, playbooks and internal controls.
  • Support the thoughtful implementation of technology and AI within Legal workflows, including identifying opportunities to improve efficiency, organization and visibility.
  • Manage outside counsel engagement administration, including matter tracking, invoices, billing review and coordination with Finance.

Intellectual Property & Brand Protection

  • Maintain the Company's intellectual property portfolio and centralized records relating to trademarks, copyrights and other intellectual property.
  • Coordinate trademark and copyright filings, renewals and related documentation with outside counsel.
  • Manage Company copyright filings and support trademark and WIPO searches as directed by Legal.
  • Administer the Company's brand-protection monitoring platform, triage potential infringement matters and coordinate follow-up through resolution with the General Counsel and outside counsel.
  • Maintain the Company's IACC membership, including annual dues, renewals, membership requests and access to member resources.
  • Track intellectual property deadlines, registrations, renewals and enforcement matters.

Litigation, Claims & Compliance

  • Support litigation, disputes, subpoenas and claims as needed, including document collection, organization, preservation and coordination with outside counsel.
  • Assist with litigation holds, discovery and maintenance of matter files.
  • Support regulatory and compliance initiatives across the organization.
  • Assist with internal policy administration and periodic policy reviews in coordination with Legal, People and other business functions.
  • Maintain confidential legal records and ensure appropriate information-management practices.
  • Support special projects and emerging legal needs as the Company continues to grow.

Qualifications

  • Bachelor's degree required; paralegal certificate or equivalent legal training preferred.
  • 6+ years of relevant paralegal experience, preferably including meaningful corporate paralegal experience within an in-house legal department and/or sophisticated corporate law firm.
  • Experience supporting corporate governance, Board matters, cap table/equity administration and corporate transactions strongly preferred.
  • Experience working with privately held, investor-backed or growth-stage companies strongly preferred.
  • Familiarity with equity administration/cap table platforms and corporate entity-management systems preferred.
  • Strong understanding of corporate records, contracts and legal-document management.
  • Excellent written and verbal communication skills.
  • Exceptional attention to detail and commitment to accuracy.
  • Demonstrated ability to manage multiple priorities, deadlines and workstreams simultaneously.
  • Ability to operate independently, anticipate needs, identify issues and drive matters through completion with limited direction.
  • Strong judgment and discretion when handling privileged, confidential and highly sensitive information.
  • Strong proficiency with Google Workspace and Microsoft Office.
  • Comfort learning and administering legal technology platforms.
  • Interest in legal operations, process improvement and thoughtful implementation of AI within legal workflows.

The Senior Corporate Paralegal will create a highly organized and dependable legal infrastructure in which corporate records are accurate and current, cap table and equity information is carefully maintained, Board and investor obligations are proactively tracked, contracts and legal deadlines are visible, and the Company can efficiently respond to diligence, financing, audit or transaction requirements.

This person will be known internally as a reliable owner of legal processes who anticipates deadlines, closes loops, maintains exceptional documentation standards and allows the General Counsel to focus on higher-value legal and strategic matters.
