We are seeking a meticulous and driven SEC Reporting Manager to establish our public reporting framework, guide us through the merger process, and lead our compliance efforts post-listing.
About the role
As the SEC Reporting Manager, you will be the foundational pillar of our financial reporting infrastructure. You will own the preparation of all SEC filings, ensure compliance with GAAP and SEC regulations, and play a critical role in the upcoming business combination. This is a unique opportunity to build a public reporting function from the ground up and make a visible impact on a rapidly scaling organization.
What you'll do
- SPAC Transition Support: Assist in the preparation of registration statements (Form S-4/F-4) and historical financial carve-outs required for the business combination.
- Financial Reporting: Own the end-to-end preparation, drafting, and filing of periodic SEC reports (Forms 10-K, 10-Q, and 8-K) including financial statements, footnotes, and MD&A.
- Technical Accounting: Research and document technical accounting positions on complex transactions (e.g., share-based compensation, warrant liabilities, and SPAC transaction costs).
- Internal Controls: Collaborate with external advisors to design, implement, and maintain a robust SOX 404 internal control environment.
- Audit Coordination: Serve as the primary liaison for external auditors during quarterly reviews, annual PCAOB audits, and internal control testing.
- XBRL & Compliance: Manage the XBRL tagging and review process to ensure absolute accuracy in submissions.
- Reporting to: Chief Accounting Officer/Chief Financial Officer
Qualifications
- Education: Bachelor’s degree in Accounting or Finance required.
- Certification: CPA license is highly preferred or actively tracking toward completion.
- Experience: 4–7 years of accounting experience, ideally blending Big 4 / public accounting with corporate SEC reporting.
- Skills: Strong working knowledge of US GAAP, SEC regulations, and SOX internal controls. Experience with financial reporting software (e.g., Workiva) is a major plus.
- Traits: Thrives in a fast-paced, ambiguous startup environment; strong analytical skills and exceptional attention to detail.
Salary Range: $125,000 – $140,000 per year
Bonus: 15% Annual Target Cash Bonus (tied to milestone achievements and company performance)
Equity: 100% Base Salary Match Initial Equity Award (Restricted Stock Awards / RSAs)
