About the role
We are seeking a meticulous, highly organized, and proactive Paralegal – Contracts & Document Specialist to join our growing team. This individual will play a critical role in supporting our legal, HR, and operational functions by managing, reviewing, drafting, and editing a wide variety of contracts, policies, and legal documents. You will be responsible for ensuring the accuracy, completeness, and proper management of our contractual and corporate documentation, working closely with internal stakeholders and potentially external counsel. This role is ideal for someone with a strong understanding of contract principles, exceptional attention to detail, and the ability to thrive in a dynamic, fast-paced startup environment. You will be instrumental in establishing and maintaining robust contract management and compliance processes.
Key Responsibilities:
- Contract Drafting & Review: Draft, review, and edit a diverse range of contracts and legal documents, including but not limited to:
- Non-Disclosure Agreements (NDAs)
- Master Service Agreements (MSAs) and Statements of Work (SOWs)
- Sales agreements and Customer agreements
- Vendor and supplier agreements
- Consulting agreements
- Clinical trial agreements (CTAs)
- Material Transfer Agreements (MTAs)
- Partnership and collaboration agreements
- Lease agreements and other operational contracts
- HR & Employment Document Support:
- Assist the HR function with drafting, reviewing, and managing employment-related documents, including offer letters and employment contracts.
- Support the review, update, and dissemination of company policies and procedures to ensure legal compliance, clarity, and alignment with best practices.
- Document Management: Develop, implement, and maintain an organized and efficient contract lifecycle management system (CLM) or repository for all agreements and legal documents. Ensure proper version control and easy retrieval.
- Compliance & Risk Mitigation: Identify and flag potential risks, non-standard terms, and inconsistencies in agreements and policies. Ensure contracts and company documents comply with company policies, legal requirements, and industry regulations.
- Process Improvement: Assist in developing and refining contract templates, policy frameworks, playbooks, and internal processes to streamline workflows and improve efficiency.
- Stakeholder Collaboration: Liaise with internal departments (e.g., R&D, Clinical, Operations, Sales, Finance, HR) to understand their contractual and policy needs, provide guidance, and ensure timely execution of documents.
- Record Keeping: Track key contract dates, terms, obligations, and renewal/expiration dates. Prepare summaries and reports on contract and policy status as needed.
- Legal Support: Provide general paralegal support to the legal function, including legal research, document preparation for corporate matters, and assistance with compliance initiatives.
- Editing & Proofreading: Perform thorough proofreading and editing of all legal and corporate documents to ensure accuracy, clarity, grammar, and consistency.
Qualifications:
Required Qualifications:
- 2-5+ years of experience as a paralegal, contract specialist, or similar role with a significant focus on contract drafting, review, and management. Experience with HR-related documents is a strong plus.
- Proven experience handling a variety of commercial and corporate agreements.
- Exceptional attention to detail, organizational skills, and meticulous proofreading abilities.
- Strong understanding of contract law principles, legal terminology, and contract lifecycle management. Familiarity with employment law basics is beneficial.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook) and experience with contract management software or document management systems.
- Excellent written and verbal communication skills in English.
- Ability to work independently, manage multiple priorities effectively, and meet deadlines in a fast-paced environment.
- Must be able to work Pacific Standard Time (PST) hours.
- High degree of professionalism, integrity, and discretion in handling confidential information.
Preferred Qualifications:
- Paralegal certificate or Bachelor’s degree in a relevant field (e.g., Law, Pre-Law, Business Administration, Human Resources).
- Experience working in the medical device, biotechnology, pharmaceutical, or healthcare industry.
- Familiarity with regulations relevant to the medical device industry (e.g., FDA, HIPAA) and their impact on contracts.
- Experience in a startup or high-growth company environment.
- Experience implementing or managing a Contract Lifecycle Management (CLM) system.

The pay range for this role is: 1,000 - 2,000 USD per month (Remote - Philippines, Latin America or Middle East)
