Role Overview

We are seeking an experienced and proactive Corporate Counsel to join our dynamic and fast-growing startup as the first in-house legal hire. In this pivotal role, you will act as a trusted legal advisor and strategic partner to the leadership team, helping to shape the legal and compliance framework as we scale. You will play a critical role in navigating legal risks, implementing best practices, and ensuring the company's compliance with laws and regulations while supporting its rapid growth and innovation.

This position requires a versatile attorney who thrives in a fast-paced environment, is comfortable with ambiguity, and has the ability to manage a wide range of legal matters independently. You’ll have the opportunity to build the company’s legal function from the ground up, including designing policies, processes, and managing external legal resources.

Example Projects

• Legal Strategy & Advisory: Provide strategic counsel to the executive team on legal implications of business decisions, corporate governance, and risk management.
• Contract Management: Draft, review, and negotiate a wide variety of agreements, including vendor, customer, partnership, employment, and confidentiality agreements.
• Corporate Governance: Draft, review, and manage corporate documents, board materials, and shareholder agreements to ensure compliance and alignment with best practices.
• Compliance & Regulatory: Monitor and ensure compliance with applicable laws and regulations, including privacy, employment, and industry-specific requirements.
• Risk Management: Identify and address potential legal risks proactively, and establish policies to mitigate them.
• Policy Development: Create and implement internal policies, processes, and training programs to support legal and regulatory compliance.
• External Counsel Management: Collaborate with and oversee external legal counsel for specialized matters or complex disputes.
• IP Protection: Partner with teams to safeguard intellectual property through patents, trademarks, and copyright protections.
• Employee Relations: Support HR with employment law matters, including contracts, policies, and dispute resolution.

The Ideal Candidate

• Juris Doctor (JD) degree from an accredited law school. Licensed to practice in California, or a state or DC and eligible to practice law in CA.
• 5-8 years of legal experience, with a combination of law firm, government, or in-house experience preferred. Prior experience with robotics startups or high-growth companies is highly desirable.
• Expertise in corporate law, commercial contracts, and compliance; familiarity with privacy, IP, and employment law is a plus.
• Strong business acumen and the ability to balance legal risks with business goals.
• Exceptional problem-solving skills, with a proactive and solution-oriented approach.
• Excellent communication and interpersonal skills, with the ability to build relationships across all levels of the organization.
• Self-starter mentality with the ability to work independently and adapt quickly to changing priorities.

Salary Range / Pay Disclosure

The base salary range for this full-time position is [$160k- $190k]. Within this range, individual pay is determined by various factors, including job-related skills, experience, and relevant education or training. Please note that the base salary range provided in this posting does not include any bonus, equity, or benefits you may be eligible for.
