About the role

We're looking for an experienced Corporate Counsel to join our team and serve as a trusted legal partner across the business.

This is a hands-on role for someone who enjoys working closely with business leaders, solving problems, and helping a company grow while making thoughtful decisions about risk. You'll work directly with Finance, Sales, Customer Success, Product, and Engineering, providing practical legal guidance that helps teams move forward with confidence.

You'll own our commercial contracting process end-to-end, including negotiating customer and vendor agreements, maintaining our platform's legal documentation, and advising on product, privacy, and regulatory matters.

As our sole in-house attorney, you'll have a great deal of ownership and the opportunity to help shape how Legal operates at Alpine IQ. We're looking for someone comfortable working independently, who knows when to bring in outside expertise, and who can turn complex legal issues into clear, actionable guidance.

Most importantly, we're looking for someone who understands that Legal protects the business while helping it succeed.

What you'll do

Commercial Contracting

  • Draft, review, negotiate, and manage a variety of commercial agreements, including MSAs, SaaS subscription agreements, Sales Orders, SOWs, BAAs, NDAs, reseller and referral agreements, and vendor contracts.
  • Work directly with Sales and Customer Success to negotiate customer agreements, including enterprise and regulated-industry deals.
  • Develop and maintain a practical contract playbook with approved language, fallback positions, and clear guidelines for when additional review is needed.
  • Build and improve our contracting processes, templates, approval workflows, and contract management practices.
  • Help the business stay organized and informed about contract obligations, exceptions, and upcoming renewals.

Product & Platform Legal Support

  • Maintain and update our platform-facing legal documentation, including Terms of Service, Acceptable Use Policy, Privacy Policy, SLAs, support terms, and beta and trial terms.
  • Partner with Product and Engineering to review new features, integrations, third-party APIs, AI/ML functionality, and customer data usage.
  • Help ensure our product and legal documentation stay aligned as the platform evolves.
  • Review marketing, sales, and website content to help ensure claims are accurate and meet applicable legal and regulatory requirements.
  • Work with Security and Compliance on customer audits, security questionnaires, and certification requirements.

Regulatory, Privacy & Risk

  • Help the business understand the legal and regulatory requirements that apply to our platform and the industries we serve.
  • Turn regulatory requirements into clear, practical guidance for our teams, including contractual and product considerations.
  • Support privacy and data protection compliance, including GDPR and CCPA/CPRA obligations, as well as incident response when needed.
  • Identify potential legal and business risks early and work with the appropriate teams to find reasonable solutions.
  • Manage outside counsel on specialized legal matters, including coordinating scope, budgets, and deliverables.

Business Partnership

  • Work closely with Finance, Sales, and Customer Success as a day-to-day legal partner, including participating in deal discussions and helping resolve contract questions.
  • Provide guidance and training to commercial teams so they understand common legal considerations and know when to involve Legal.
  • Support corporate, employment, and other general legal matters as needed, working with Finance leadership and outside counsel where appropriate.
  • Partner with Accounting on customer bankruptcy notices, collection escalations, and other legal notifications.
  • Help establish clear processes so teams know how to work with Legal and can get the support they need without unnecessary delays.

Required Qualifications

  • JD from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 7–10 years of relevant legal experience, with meaningful experience negotiating technology or SaaS commercial agreements. This may include law firm experience, in-house experience, or a combination of both.
  • Experience taking ownership of SaaS subscription and MSA negotiations, including terms related to auto-renewal, limitation of liability, indemnification, intellectual property, data protection, and security.
  • Working knowledge of privacy and data protection laws, including GDPR and CCPA/CPRA, particularly as they apply to B2B platforms.
  • Experience advising businesses in regulated environments and helping translate regulatory requirements into practical contractual and product guidance.
  • Strong business judgment and the ability to make thoughtful decisions when there isn't always a clear answer.
  • Ability to manage competing priorities and work through a high volume of requests while maintaining quality and attention to detail.
  • A practical approach to risk, including the ability to say no when necessary and offer alternative solutions whenever possible.
  • Strong written and verbal communication skills, with the ability to explain complex legal issues in a clear, straightforward way.

Preferred Qualifications

  • In-house experience at a growing B2B SaaS company.
  • Experience working in a regulated industry, such as cannabis or another licensed sector.
  • Experience drafting and maintaining public-facing legal documents, including Terms of Service and Acceptable Use Policies.
  • Familiarity with contract lifecycle management (CLM) tools and experience building or improving a contracting process.
  • Experience supporting security and compliance certifications such as SOC 2, ISO 27001, or HIPAA.
  • Experience advising on AI/ML products and related legal and contractual considerations.
  • General knowledge of corporate governance, securities, and employment matters.

During your first year, you'll help establish a legal function that supports the company's growth while managing risk thoughtfully.

Success in this role means:

  • Standard commercial agreements move through the contracting process efficiently, without Legal becoming a bottleneck.
  • Teams understand when and how to involve Legal, along with what to expect from the process.
  • A practical contract playbook, standardized templates, and clear approval guidelines are in place and being used.
  • Our platform's legal documentation is current, consistent, and reflects how our products actually work.
  • Legal is involved early in important business decisions, allowing us to identify potential issues and find solutions before they become bigger challenges.
  • Teams feel supported and have the guidance they need to make informed business decisions.
