About the role
We are seeking a highly skilled Associate General Counsel, Corporate to join our legal team and provide strategic legal advice on a variety of corporate governance, equity management, and corporate development matters. The ideal candidate will have extensive experience managing corporate governance frameworks, ensuring compliance with legal and regulatory requirements, and supporting executive leadership and the Board of Directors on governance best practices. Key responsibilities include overseeing corporate recordkeeping, handling equity compensation plans, and advising on stock option plans, restricted stock units, and other equity-related matters.
This role will also work closely with the corporate development team to provide legal support for potential acquisitions and other strategic transactions. This includes conducting due diligence, drafting and negotiating transaction documents, and advising on post-transaction matters. Ideal candidates will have strong analytical skills, excellent judgment, and the ability to manage multiple complex projects in a fast-paced environment. A JD from a top-tier law school and admission to practice law are required, with at least 8 years of relevant legal experience.
