Position Overview

We are seeking a detail-oriented and collaborative Contract Manager to oversee the end-to-end lifecycle of customer, vendor, and partner contracts in our fast-growing SaaS company. Reporting directly to the Chief Financial Officer, this role ensures that contract terms support our financial, legal, and operational standards while enabling scalable revenue growth.

This position plays a central role in maintaining contract integrity, accelerating deal cycles, and ensuring contractual risk is managed effectively. While primarily internally focused, the role includes limited customer-facing interaction—especially around custom terms and conditions, in coordination with Sales and Account Management teams.

Key Responsibilities

Contract Drafting & Review

·       Draft, review, and coordinate the negotiation of SaaS subscription agreements, MSAs, NDAs, DPAs, SLAs, and partner/vendor contracts.

·       Collaborate with legal counsel and business stakeholders to align contract terms with business and compliance requirements.

·       Support redline coordination, contract version control, and documentation best practices.

Contract Lifecycle Management

·       Own and manage the full lifecycle of contracts, from initiation and negotiation through execution, renewal, and termination.

·       Administer contract templates and workflows in PandaDoc, including tracking status and maintaining a centralized, audit-ready repository.

·       Proactively manage renewal timelines and identify contract obligations, including SLAs and pricing clauses.

Sales & Revenue Enablement

·       Work closely with Sales and Account Management to coordinate the internal approval process for customer contracts, especially where non-standard terms are proposed.

·       Serve as a resource for interpreting contract language and resolving customer-facing contract questions.

·       Support quote-to-contract process improvements that drive operational efficiency and deal velocity.

Risk & Compliance Management

·       Identify and mitigate risks related to liability, data privacy (e.g., GDPR, CCPA), service levels, and contractual obligations.

·       Ensure compliance with internal approval policies, legal standards, and evolving business policies.

·       Partner with InfoSec and Legal teams to ensure security and regulatory requirements are reflected in contracts.

Reporting & Optimization

·       Generate reports and dashboards summarizing contract volume, cycle time, key terms, expiration/renewal dates, and contractual obligations.

·       Use Salesforce and PandaDoc data to support sales forecasting and contract health monitoring.

·       Continuously improve contract templates, playbooks, and review processes for clarity, consistency, and efficiency.

Cross-Functional Collaboration

·       Partner closely with Sales, Finance, Legal, Product, and Operations to ensure contracts reflect business priorities and mitigate risks.

·       Support post-signature handoffs to ensure alignment between contract terms and billing, implementation, and customer success workflows.

Qualifications

·       4+ years of experience in SaaS contract management, legal operations, or commercial operations.

·       Strong working knowledge of SaaS subscription contracts and customer agreement structures.

·       Experience using PandaDoc (or similar CLM tools) and Salesforce to manage contract workflows and reporting.

·       Excellent communication skills with the ability to collaborate across legal, finance, sales, and operational teams.

·       Highly organized with attention to detail and a track record of managing multiple agreements and priorities.

·       Comfort interacting with external clients in a limited capacity, particularly around redlines and custom terms coordination.

Preferred Skills

·       Familiarity with SaaS financial metrics and customer lifecycle operations.

·       Experience supporting vendor onboarding and partner agreements.

·       Understanding of data privacy regulations and risk management within the contracting process.

·       Prior experience optimizing contract processes in a high-growth B2B environment.

·       Monitor and maintain data quality across Salesforce, PandaDoc, and other systems dependent on contract and customer data.
