Role Overview 

We are seeking a Head of Legal to serve as Tenpoint’s first in-house attorney and establish the legal function from the ground up. This is a high-impact, career-defining role for an experienced biotech attorney who thrives at the intersection of corporate law, strategic transactions, and business-building.


In this role, you will partner directly with our CFO, executive team, and Board, advising on critical issues spanning governance, financings, licensing, compliance, intellectual property (IP) and operations. You will also play a central role in preparing Tenpoint for its potential IPO and future as a public company. For the right candidate, this is not just an opportunity to serve as a trusted business advisor, but also to grow into a future General Counsel role as the company scales.

Key Responsibilities 

Build & Lead Legal Function

  • Serve as Tenpoint’s first in-house counsel, responsible for establishing legal processes, policies, and systems that will scale with the company.
  • Act as a trusted legal advisor to the CFO, CEO, and executive team on strategic and operational matters.
  • Partner with the Board and executive leadership on governance, compliance, and fiduciary obligations.
  • Partner with outside counsel as necessary and carefully manage outside counsel costs.

Corporate & Public Company Readiness

  • Lead all legal aspects of IPO readiness, including SEC filings, corporate governance, and securities compliance.
  • Prepare and review disclosure materials in Workiva, board documentation, and corporate policies consistent with public company standards.
  • Advise on Sarbanes-Oxley readiness, equity administration, and executive compensation matters.

Commercial & Operational Support

  • Draft, review, and negotiate a wide range of agreements including licensing, collaboration, clinical trial, vendor, and employment contracts.
  • Provide proactive counsel on legal and compliance risks across the business, ensuring pragmatic solutions that enable growth while protecting the company.
  • Collaborate with finance, HR, clinical, and commercial teams to ensure legal alignment with business priorities.

Strategic Transactions & Partnerships

  • Support financings, business development deals, and strategic collaborations.
  • Advise on IP strategy and coordinate with outside counsel on patents, trademarks, and trade secrets.
  • Ensure Tenpoint’s legal posture supports both innovation and scalability.

Experience 

Required: 

  • Juris Doctor (JD) from an accredited law school; member in good standing of at least one US state bar.
  • 8+ years of progressive legal experience, including in-house counsel experience in biotech/biopharma.
  • Prior experience as a startup or growth-stage biotech attorney with direct exposure to the operational challenges of scaling.
  • Demonstrated track record of leading legal IPO readiness and SEC filings.
  • Strong corporate governance and securities law expertise.
  • Proven ability to negotiate and manage a broad range of commercial, clinical, and corporate agreements.
  • Excellent judgment, business acumen, and communication skills with the ability to influence at all levels of the organization.
  • Proficiency in CLM software (LinkSquares experience is preferred)

 Preferred: 

  • Experience working closely with CFOs and finance teams on capital markets transactions.
  • Prior involvement in successful IPOs or major biotech financing events.
  • Exposure to IP strategy and portfolio management in biotech.
