Job Summary:

We are seeking a highly skilled and motivated General Counsel with 3 to 5 years of international experience in a corporate environment. The General Counsel will be responsible for overseeing the legal aspects of the business, ensuring the company’s activities comply with relevant laws and regulations across jurisdictions. The ideal candidate will provide strategic legal advice, mitigate risks, and safeguard the company's interests while supporting its international expansion and operations.


Key Responsibilities:

  1. Legal Compliance & Risk Management:
    • Ensure the company’s operations adhere to applicable international, national, and local laws and regulations.
    • Identify, analyze, and manage legal risks across multiple jurisdictions.
    • Establish and maintain policies and procedures to mitigate legal risks.
  2. Contract Management:
    • Draft, review, and negotiate a wide range of contracts and agreements, including commercial agreements, employment contracts, vendor agreements, and partnerships.
    • Manage cross-border transactions and contracts, ensuring compliance with international regulations.
  3. Corporate Governance:
    • Advise on corporate governance best practices and ensure compliance with company policies and board governance frameworks.
    • Assist with board meetings, resolutions, and legal documentation related to governance.
  4. Regulatory Affairs:
    • Monitor changes in international laws and regulations that could impact the company’s operations and ensure timely compliance.
    • Manage relationships with regulators and handle any regulatory inquiries or investigations.
  5. Litigation & Dispute Resolution:
    • Oversee and manage any litigation, arbitration, or disputes involving the company, coordinating with external counsel when necessary.
    • Represent the company in negotiations and dispute resolution processes.
  6. Mergers & Acquisitions (M&A):
    • Provide legal support on corporate transactions such as mergers, acquisitions, joint ventures, and restructurings.
    • Conduct due diligence and ensure legal compliance for M&A deals across different countries.
  7. International Expansion Support:
    • Advise on legal aspects of expanding the company into new markets.
    • Ensure compliance with local laws and regulations in each country of operation.
  8. Intellectual Property:
    • Safeguard the company’s intellectual property (IP) assets by managing IP registrations, infringements, and disputes.
    • Provide strategic advice on IP-related issues in different jurisdictions.
  9. Stakeholder Management:
    • Collaborate with external counsel, advisors, and stakeholders as needed for specialized legal matters.
    • Act as a trusted advisor to senior leadership, providing guidance on legal implications of strategic decisions.
  10. Training & Development:
    • Provide training to internal teams on relevant legal topics, including compliance, contract management, and regulatory requirements.

Qualifications:

  • Juris Doctor (JD), LLB, or equivalent degree from a reputable law school.
  • Licensed to practice law in at least one jurisdiction, with a preference for candidates with multi-jurisdictional licensure.
  • 3 to 5 years of experience in a similar role, preferably with international exposure working within multinational corporations or law firms.
  • Strong knowledge of international business laws, regulations, and best practices.
  • Experience handling complex cross-border legal matters, contracts, and regulatory compliance.
  • Exceptional negotiation, drafting, and communication skills.
  • Ability to work independently and make sound legal decisions under pressure.
  • Experience in corporate governance, intellectual property, M&A, and dispute resolution.
  • Strong organizational and project management skills with attention to detail.
  • Ability to manage external legal resources and control legal budgets.

Preferred Qualifications:

  • Fluency in multiple languages is a plus.
  • Experience in specific industries such as SaaS/Tech Transfer/Other Tech like industry.
