Role Overview

The Monjur Attorney supports MSP clients by ensuring their contract structures align with Monjur’s standardized legal protection framework. This role focuses on contract alignment, risk mitigation, and structured legal validation within the Monjur platform.

Attorneys in this role operate within Monjur’s attorney-supervised platform model, applying established legal frameworks, clause libraries, and compliance standards to support technology service providers.

**This position is not a traditional law firm role and does not involve litigation, general corporate counsel services, employment law advising, or business development.**

Responsibilities

Customer Legal Onboarding

• Review and align MSP contract stacks to Monjur standards
• Identify gaps in indemnification, limitation of liability, and third-party protections
• Ensure proper integration of Monjur’s Master Services Agreement and Service Attachments
• Confirm insurance alignment with contractual indemnification language
• Support onboarding team with legal validation before contracts go live

Ongoing Legal Support (Non-Advisory)

• Answer contract interpretation questions within Monjur-approved frameworks
• Provide redline support using Monjur clause library
• Escalate issues outside approved boundaries to supervising attorneys
• Support structured negotiation responses using Monjur-approved language

Annual Contract Updates

• Conduct structured annual contract review sessions with clients
• Apply updates reflecting regulatory developments (e.g., HIPAA, GLBA, Quebec Bill 25 when applicable), insurance alignment, and Monjur template updates
• Document client-specific modifications
• Ensure version control integrity within the Legal Knowledge Base

Periodic Legal Protection Audits

• Perform recurring audits of contract consistency across client agreements
• Review third-party service schedules, insurance alignment, termination and renewal structures, pricing and fee adjustment clauses
• Identify potential legal risk exposure areas
• Provide structured remediation recommendations within the Monjur framework

Qualifications

• Juris Doctor (JD) from an accredited law school
• Active U.S. bar license in good standing
• 3–8 years of experience working with:
• • Technology service agreements
  • MSP agreements
  • SaaS contracts
  • Service-based commercial contract structures
• Strong familiarity with:
• • Indemnification frameworks
  • Limitation of liability provisions
  • Insurance alignment in commercial agreements
• Working knowledge of regulatory frameworks such as HIPAA and GLBA preferred
• Ability to operate within structured legal systems, templates, and standardized contract frameworks

Preferred Experience

• Experience working with managed service providers (MSPs) or IT service providers
• Familiarity with errors & omissions (E&O) and cyber liability insurance policies
• Experience reviewing vendor risk provisions and third-party service obligations
• Comfort working in a software-enabled legal environment
• Experience supporting recurring subscription-based clients
